WuyaSea Terms of Service

By using WuyaSea.com or other WuyaSea websites ("Service"), you agree to be bound by the following terms and conditions ("Terms of Service"). If you do not agree with these terms and conditions, please do not use the Service.

We reserve the right to modify these Terms of Service from time to time without notice. Any changes made to current Service shall be subject to the Terms of Service. Continued use of Service shall constitute your consent to such changes. Please feel free to view this Terms of Service from time to time for updates.

Account Terms

1. You must be at least 18 years or older to use the Service.
2. You must be a human, and provide your legal full name and valid contact information required during signup process. Accounts registered through bots or scripts are not allowed.
3. You must not tell your account password to anyone else. Nor can you share your account with anyone else.
4. A single person or legal entity may not create more than one account.
5. You can not use the Service for any illegal purpose or in violation of any laws in your jurisdiction.
6. You agree you will not impersonate another person.

User submitted Content and Copyrights

1. Excluding user submitted Content, you agree not to reproduce, copy, sell, resell, or offer for any commercial purposes, any portion of the WuyaSea Site without written permission from WuyaSea.
2. You agree you will not submit material that is copyrighted or protected by trade secret, unless you are the rights owner or given permission from rights owner to submit such material and to grant WuyaSea all of the license rights granted herein.
3. You agree you will not submit Content that is illegal, fraudulent, obscene, pornographic, defamatory, libelous, threatening, offensive, or is otherwise inappropriate.
4. You agree you will not submit Content that contains virus, worm, or anything that is harmful or destructive in nature.
5. You retain all the copyrights ownership of the Content you submitted to WuyaSea if you own the copyrights of such Content. However, by submitting Content to WuyaSea, you hereby grant WuyaSea worldwide, royalty-free, perpetual, irrevocable, non-exclusive, transferable, sublicenseable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media.
6. WuyaSea does not and can not possibly screen all user submitted Content. You understand that you may be exposed to Content submitted by other users on the Service, and you agree that WuyaSea can not be responsible for such exposure.
7. WuyaSea reserves the right (but not the obligation) to refuse or delete any Content via the Service.
8. WuyaSea does not control the Content posted to the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. Under no circumstances will WuyaSea be liable in any way for any Content, including, but not limited to, liability for any errors or omissions in any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise transmitted via the Service.

Shopping and Payment Terms

1. Valid credit card or Paypal account is required for shopping. Upon providing credit card or Paypal information, the purchaser confirms he/she is the account holder and information provided is accurate. By placing the order through Services, you authorize WuyaSea to charge the credit card or Paypal account for the balance due of the order.
2. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
3. WuyaSea reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. WuyaSea shall not be liable to you or to any third party for any modification, price change, suspension or discontinuation of the Service.

General Conditions

1. The information and Service is provided "as is" and "as available" basis with no warranty of any kind. Your use of the Service is at your own risk. The content is provided by and is the responsibility of the user posting such material. WuyaSea expressly disclaim any warranty, express or implied, regarding the Service, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
2. WuyaSea, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, for any reason at any time. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all Content in your Account. WuyaSea reserves the right to refuse service to anyone for any reason at any time.
3. Under no circumstances shall WuyaSea, its officers, directors, employees, or agents be liable to you for any direct, indirect, incidental, special, punitive, or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if WuyaSea has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service.
4. You agree to hold harmless and indemnify WuyaSea, and its officers, directors, employees, or agents, from and against any third party claim arising from or in any way related to your use of the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature.
5. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be deemed superseded by a valid enforceable provision that most closely matches the intent of the original provision and the remaining provisions shall be enforced. The failure of WuyaSea to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. The Terms of Service constitutes the entire agreement between you and WuyaSea and govern your use of the Service, superceding any prior agreements between you and WuyaSea (including, but not limited to, any prior versions of the Terms of Service).
